Фактически provisional liquidation - это начальный этап ликвидации предприятия, представляющий собой не что иное как назначение временного ликвидатора (с ограниченными правами) на период между подачей заявления/ходатайства о ликвидации компании и принятием судом официального решения о ликвидации, с назначением уже "полноценного" официального ликвидатора. Функция временного ликвидатора - обеспечение защиты интересов всех членов компании и/или ее кредиторов до принятия судебного постановления о ее ликвидации.

A provisional liquidation is the Court appointment of a liquidator to a company in the period between:

(a) the filing of the application to wind up the company; and

Provisional Liquidation

When an application to wind up a company is lodged with the Court, it is not heard immediately. The purpose of the appointment of a Provisional Liquidator is to preserve the assets of a company until the Court hears the winding up application and decides whether to appoint a Liquidator or not. The appointment may be described as a “holding” operation.

The circumstances in which this type of appointment is most appropriate

A Provisional Liquidator appointment is most appropriate where:

a creditor has reason to believe that the assets may be dissipated following an application being filed with the Court to have the company wound up;
it is necessary to quickly stabilise a disorderly management situation; or
time is required to consider alternative actions so that an informed decision can be made regarding the future of the company.
Provisional Liquidator’s powers

The powers conferred may vary according to the particular circumstances, however it is not the function of a Provisional Liquidator to call for Proofs of Debt or distribute funds to creditors.

Point to note

This type of appointment is a holding operation and some other form of insolvency appointment such as liquidation usually follows. Occasionally, however, the immediate crisis is overcome and control of the company returns to the directors.
