Уставным документом этой компании является учредительный договор. Другого у них нет. Что тут невозможного?

Учредительный договор

Since the Memorandum of Association (UK)/Articles of Incorporation (USA) does NOT include the info on the Board of Directors (it is an internal matter) and since the internal matters are covered by the Articles of Association (UK)/By-Laws (USA), the proper legal wording in the original will be "Pursuant to ... of the Articles of Association (the "Articles").
And based on the requirements for the info contained in the "устав" (the Board terms are not the required info), the proper Russian translation of the text will be "Учредительный договор" because such document does govern the internal matters of the company
