Prepayment Compensation” means, with respect to any prepayment of all or any portion of the Credit from and after the date on which the Borrower has exercised the Interest Rate Switch, the amount as reasonably determined by the Lender as of the date of such prepayment, to be the excess of (x) the present value of the interest payments the Lender would have received from the Borrower on the prepayment amount, had such amount not been prepaid and had such amount been repaid in accordance with the schedule of payments in effect for the Credit prior to such prepayment; over (y) the income that the Lender would earn by reinvesting the prepaid amount in fully taxable, marketable United States Treasury securities with maturities similar to the scheduled principal maturities of the prepaid amount
