In the context of a potentially material transaction, assuming that the relevant information is price sensitive, the point at which “inside information” arises in practice is likely to be the earlier of:
(a) the point at which the existence of the negotiations would in and of itself be price sensitive; and
(b) the point at which there becomes a ‘realistic prospect’ of the transaction happening.
In practice, this is likely to be the point at which a confidentiality agreement is entered into (as a proxy for the point at which there is a realistic prospect of the transaction happening), unless ХХХ concludes that the mere existence of early stage discussions with a counterparty is price sensitive.

I think that here it simply means "substitute" and, in any case, one of the translations of заместитель is "proxy".

То есть дословно "proxy" в значении "заместитель" - один момент "замещает", может считаться другим моментом.

: proxy в данном контексте ни в коем случае не означает "приблизительный / приблизительно определенный" момент возникновения реальной перспективы осуществления операции.
