THIS AGREEMENT is made on the 1st of November, 2002
BETWEEN:
(1) XXXX ESPAÑA, S.A. (Company Nª A- 08I80283), a Company incorporated under the laws of Spain, whose registered office is at xxxxxxxx xxx xx, Kilómetro 1,8, 08495 Fogars de la Selve, Barcelona, Spain (the “Selling Company”); and
(2) XXXX XXXXX XXXXX, S.A., a Company incorporated under the laws of Spain, whose registered office is at Ctra. XXXXX-XXXX xxx, Spain ( the "Designated Purchaser").
WHEREAS
(A) This Agreement is entered into pursuant to and in connection with the master sale and purchase agreement between Xxxx (“XXX”) as vendor on its own behalf and, to the extent therein provided, on behalf of the Selling Company, and XXX XXX XXXX (the "Purchaser”) as Purchaser on its own behalf and, to the extent therein provided, on behalf of the Designated Purchaser, for the sale and purchase, inter alia, of the Spanish Business entered into on 23 September 2002 (the “Principal Agreement”).
(B) In the Principal Agreement XXX and the Purchaser have agreed, among other things, to procure that the Selling Company shall sell and the Designated Purchaser shall purchase the Spanish Business and accordingly the Selling Company hereby sells and the Designated Purchaser hereby purchases the Spanish Business for the consideration and upon the terms and subject to the conditions of the Principal Agreement.
IT IS AGREED AS FOLLOWS:
1. DEFINITIONS AND INTERPRETATION
1.1 This Agreement is being entered into pursuant to and in connection with the Principal Agreement and references in this Agreement to the Principal Agreement are to the Principal Agreement as amended, modified, waived or extended from time to time in accordance with the terms thereof.
1.2 Unless expressly provided otherwise in this Agreement, words and expressions defined or given a particular meaning in the Principal Agreement shall have the same meanings when used in this Agreement.
1.3 In this Agreement and the recitals, except as far as the context requires:
“Consideration” has the meaning given in Clause 3.2;
“Local Completion” means completion of this Agreement in accordance with Clause 5.1 (Local Completion); and
“Spanish Business Assets” means each and every one of those Business Assets used in the Spanish Business and owned by the Selling Company including, but without limitation, each of the assets listed in Schedule 1.
1.4 The terms of the Principal Agreement shall prevail in the event of any conflict between the terms of this Agreement and the Principal Agreement.
1.5 In this Agreement, unless the context otherwise requires:
(a) references to Clauses, sub-clauses, Schedules to , or paragraphs of Schedules to, shall be to Clauses, sub-clauses, Schedules to, or paragraphs of Schedules to, this Agreement unless expressly stated otherwise;
(b) references to persons shall include individuals, bodies corporate (whenever incorporated), unincorporated associations and partnerships;
(c) the headings are inserted for convenience only and shall not affect the construction of this Agreement; and
(d) references to one one gender include all genders.
1.6 Schedule 1 to this Agreement forms part of this Agreement. Accordingly, any reference to this Agreement shall include Schedule 1.
2. COMPLIANCE
2.1 The Selling Company agrees to comply with, perform and observe the obligations and undertakings whish, under the Principal Agreement, the Purchaser has agreed to procure that the Designated Purchaser shall comply with, perform and observe for as long as and to the extent that the Purchaser has agreed under the Principal Agreement to procure such compliance, performance or observance.
2.2 The Designated Purchaser agrees to comply with, perform and observe the obligations and undertakings which, under the Principal Agreement, the Purchaser has agreed to procure that the Designated Purchaser shall comply with, perform and observe for as long as and to the extent that the Purchaser has agreed under the Principal Agreement to procure such compliance, performance or observance.
3. SALE OF THE SPANISH BUSINESS AND CONSIDERATION
3.1 Subject to and in accordance with the terms of the Principal Agreement, the Selling Company hereby sells with full title guarantee, and the Designated Purchaser hereby purchases, as at and with effect from Local Completion, the Spanish Business (including, for the avoidance of doubt, the Spanish Business Assets) as a going concern free from all liens, charges, equities and encumbrances (other than Permitted Liens) together with all rights which now are, or at any time hereafter may become, attached to them.
3.2 The consideration payable under the principal Agreement by the Purchaser to XXX Finance for the Spanish Business has been calculated in accordance with Schedule 8 (Allocation of Consideration) of the Principal Agreement and shall be paid in accordance with Clause 3.2 (payment of ROW Consideration) and Clause 3.4 (Method of payment) of the Principal Agreement and adjusted in accordance with the provisions of Schedule 11 (Determination and Certification of Net Asset Adjustment) of the Principal Agreement (the “Consideration”).
4. PRIORITY OF PRINCIPAL AGREEMENT
4.1 In accordance with ICI’s, the Purchaser’s and each of the parties' intentions that this Agreement operates merely to transfer or convey the rights, title and interests in various assets relating to the Spanish Business agreed to be sold on the terms of the Principal Agreement and the Transaction Documents (other than this Agreement) the parties herby agrees as follows:
(a) any amounts owed to the Selling Company in respect of the Selling Company’s Spanish Business (including for the avoidance of doubt the Spanish Business Assets) pursuant to any of the provisions of the Principal Agreement, including, without limitation, Clause 3 (Consideration), Clause 4 (Liabilities), Clause 5 (Assurances), Clause 9 (Completion) and Schedule 11 (Determination and Certification of Net Asset Adjustment) thereof shall be received by XXX Finance (on behalf of the Selling Company) and the Selling Company hereby acknowledges and confirms to the Designated Purchaser that any payment made to XXX Finance shall be a full and final discharge of the Designated Purchaser's obligations to pay such amount to the Selling Company;
(b) any claim for any loss or damage (including any interest, professional fees or legal costs) arising under, or in connection with, this Agreement or any of the documents referred to in Clause 5 (Local Completion) of this Agreement shall only be brought by, or against, XXX or the Purchaser (as appropriate) under the terms of the Principal Agreement and subject to sub-clauses 4.1 (c) and 4.1 (d) the parties waive all and any rights to pursue any such claim against the other;
(c) if and to the extent the loss or damage suffered by the Designated Purchaser is the subject of a Warranty, the Designated Purchaser’s remedy shall be pursued only by way of an action for breach of Warranty for the Designated event of a claim as referred to in sub-clauses 4.1 (b) and 4.1 (c) shall be the loss or damage suffered by the Selling Company or the Designated Purchaser and not XXX or the Purchaser; but
(d) notwithstanding the provisions of sub-clause 4.1 (b), any application for specific performance, an injunction or other non-pecuniary relief not otherwise available to XXX or the Purchaser and relating to the activities of the Selling Company or the Designated Purchaser may be sought by the relevant party directly against the other party in order to protect its interests or enforce its rights but not damages, fines, compensation or other monetary amount may be sought or accepted by a party from the other.
4.2 In order to give effect to the foregoing, the Designated Purchaser hereby:
(a) irrevocably appoints the Purchaser as its agent to conduct, compromise and/or settle on its behalf any claim which the Designated Purchaser may have under any Transaction Document;
(b) grants the Purchaser full discretion to conduct, comprise and/or settle any such claim on its behalf;
(c) undertakes to the Selling Company on its own behalf and on behalf of XXX that:
(i) it will be irrevocably bound by all the acts (and omissions) of the Purchaser in the course of, or related to, the conduct, comprise and settlement of any claim which the Designated Purchaser may have under any Transaction Document; and
(ii) the receipt by the Purchaser of any payment made by any member of the XXX Group in satisfaction of any claim by or on behalf of the Designated Purchaser under any Transaction Document shall be a full and final discharge of all obligations of such XXX Group member to the Designated Purchaser in respect of such claim
4.3 In order to give effect to the foregoing, the Selling Company hereby:
(a) irrevocably appoints XXX as its agent to conduct, comprise and/or settle on its behalf any claim which the Selling Company may have under any Transaction Document;
(b) grants XXX full discretion to conduct, comprise and/or settle any such claim on its behalf;
(c) undertakes to Designated Purchaser on its own behalf and on behalf of the Purchaser that:
(i) it will be irrevocably bound by all the acts (and omissions) of XXX in the course or, or related to, the conduct, compromise and settlement of any claim which the Selling Company may have under any Transaction Document; and
(ii) the receipt by XXX Finance of any payment made by any member of the Purchaser’s Group in satisfaction of any claim by or on behalf of the Selling Company under any Transaction Document shall be a full and final discharge of all obligations of such Purchaser's Group member to the Selling Company in respect of such claim.
4.4 In consideration of the mutual promises contained in Clause 4 (Priority of Principal Agreement) each party covenants with the other that it will issue no proceedings and will take no enforcement action in any court of law (whether in England, Spain or elsewhere) in respect of any breach of this Agreement or any of the other Transaction Documents except to the extent permitted by sub-clause 4.1 (d).
4.5 If there is a breach of Clause 4.2, each party recognises, and agrees with the other party, that its relevant ultimate parent (XXX or the Purchaser, as appropriate) may take all steps that such ultimate parent considers appropriate to give effect to the provisions of this Clause and accordingly each party agrees that XXX and the Purchaser are intended to benefit from the provisions of this Clause 4 (Priority of Principal Agreement) and, to that extent, the exclusion of the rights of third parties under Clause 35 (Contracts (Additional Clauses) Act 1999) of the Principal Agreement, incorporated by Clause 6 (Additional Clauses) of this Agreement, shall not apply.
5. LOCAL COMPLETION
5.1 At the time appointed for First Completion, Local Completion shall occur and, subject to Clause 9.4 of the Principal Agreement, no action taken at Local Completion shall have effect except as part of First Completion as provided for in Clause 9 (Completion) of the Principal Agreement. Accordingly, Local Completion Under this Agreement shall be effected in accordance with Clause 9 (Completion) of Principal Agreement. Accordingly, Local Completion under this Agreement shall be effected in accordance with Clause 9 (Completion) of the Principal Agreement at the same time as Local Completion is effected in respect of each other country or territory the subject of the Principal Agreement (other than India).
5.2 Subject to Clause 5.1 above, Local Completion shall take place on the First Completion Date at the offices of the Seller’s Lawyers.
5.3 At Local Completion, the Spanish Business and the Spanish Business Assets will be transferred to the Designated Purchaser in accordance with the terms of the Principal Agreement.
5.4 For Social Security purposes the parties will sign at Local Completion a confirmation that Local Completion has occurred. This document will be in Spanish.
6. ADDITIONAL CLAUSES
The Parties agree that each of Clauses 20, 23, 26, 27, 29, 30, 31, 32, 34, 35 (except to the extent expressly disapplied herein) and 36 of Principal Agreement shall be deemed to be incorporated into this Agreement as if set out in full with each reference to “XXX” being deemed t be replaced by a reference to “the Business” being deemed to be replaced by a reference to “the Spanish Business” and each reference to the “Business Assets” being deemed to be replaced by a reference to the “Spanish Business Assets”.
7. NOTICES
7.1 Subject to Clause 7.2, the provisions of Clause 33 (Notices) of the Principal Agreement shall apply to the parties to this Agreement.
7.2 In relation to the Spanish Business, the addresses and fax numbers of the parties for the purpose of Clause 33.2 (Initial details of the parties) of the Principal Agreement are as follows:

This Agreement shall be governed by and construed in accordance with English law. Each party agrees that the courts of England and Wales are to have exclusive jurisdiction to settle any claim or matter arising under this Agreement and each party submits to the jurisdiction of the English courts. Nothing in this Clause 8 (Law and Jurisdiction) shall limit the right of any party to apply to any relevant court of competent jurisdiction in any territory outside England and Wales for the purpose of enforcement against any other party within such territory of an order or judgment of any court in England and Wales in respect of this Agreement.

EL PRESENTE CONTRATO se celebra con fecha de 1 de noviembre de 2002
ENTRE
(1) De una parte, XXX ESPAÑA, S.A. (con NIF A-08I80283), Sociedad constituida de conformidad con la legislación española, con domicilio social en Carretera XXX xxx xxx, Kilómetro 00 00000 Xxxx xx xx xxxx, xxxxxx, España (en adelante, la “Sociedad Vendedora”); y,
(2) De otra, XXXX XXXX XXXX, S.A., Sociedad constituida de conformidad con la legislación española, con domicilio social en xxxxx xxxxx xxxxx 00000 xxxxx, España (en adelante, el “Comprador Designado”).
EXPONEN
A Que el presente Contrato se celebra de conformidad y en relación con el contrato original de compraventa celebrado entre Xxxxxx xxxxx xxxxx (en adelante, “XXX”), en calidad de vendedor en su propio nombre y representación y, en la medida en que dicho contrato así lo establezca, en nombre y representación de la Sociedad Vendedora, y XXXX XXXX XXXX xxxxx (en adelante, el “Comprador”) en calidad de Comprador en su propio nombre y representación y, en la medida en que dicho contrato así lo establezca, en nombre y representación del Comprador Designado, para la formalización de la compraventa, entre otros, del Negocio Español celebrado el 23 de septiembre de 2002 (en adelante. el “Contrato Principal”).
B Que en el Contrato Principal, tanto XXX como el Comprador han acordado, entre otras cosas, procurar que la Sociedad Vendedora venda y que el Comprador Designado compre el Negocio Español y, en consecuencia, mediante el presente contrato, la Sociedad Vendedora vende y el Comprador Designado compra el Negocio Español por la contraprestación, en los términos y sujeto a las condiciones expresados en dicho Contrato Principal.
LAS PARTES ACUERDAN LO SIGUIENTE:
1. DEFINICIONES E INTERPRETACIÓN
1.1 El presente Contrato se celebra de conformidad y en relación con el Contrato Principal y las referencias que en el presente Contrato se hagan al Contrato Principal constituyen referencias a dicho Contrato Principal en la nueva redacción que, en su momento, pueda habérsele dado en virtud de enmienda, modificación o anexo de conformidad con los términos de aquél.
1.2 Salvo disposición en contrario prevista en el presente Contrato, cuando los términos y expresiones definidos o cuyo significado haya sido asignado en el Contrato Principal se empleen en el presente Contrato, tendrán el mismo significado.
1.3 En el presente contrato, incluida su parte expositiva, los siguientes términos y expresiones tendrán los significados que a continuación se les asigna, salvo que del contexto se desprenda lo contrario:
El término “Contraprestación” tendrá el significado que se le atribuye en la Cláusula 3.2;
La expresión “Perfeccionamiento Local” tendrá el significado de perfeccionamiento del presente Contrato conforme a la Cláusula 5.1 (Perfeccionamiento Local); y
La expresión “Activos pertenecientes al Negocio Español” tendrá el significado de todos y cada uno de los Activos utilizados en el Negocio Español de los que la Sociedad Vendedora sea titular, incluidos, a efectos enunciativos pero no limitativos, cada uno de los activos descritos en el Anexo 1.
1.4 Los términos y condiciones del Contrato Principal serán de aplicación preferente en caso de que surgiese cualquier conflicto entre los términos de dicho contrato y los del presente.
1.5 En el presente Contrato, salvo que del contexto se desprenda lo contrario:
(a) las referencias a Cláusulas, subcláusulas, Anexos o párrafos de Anexos, constituyen referencias a Cláusulas, subcláusulas, Anexos o párrafos de Anexos del presente Contrato salvo disposición expresa en contrario;
(b) las referencias al término personas incluirán personas físicas, sociedades (siempre que se hayan constituido), asociaciones no constituidas en sociedad y sociedades civiles;
(c) los títulos incluidos en el presente Contrato responden a meros fines de conveniencia y no afectarán a su significado; y
(d) las referencias a palabras del género masculino incluirán y se referirán también a palabras correlativas de género femenino o neutro.
1.6 El Anexo 1 al presente Contrato es parte integrante del mismo. En consecuencia, toda referencia al presente Contrato incluirá dicho Anexo 1.
2. CUMPLIMIENTO
2.1 La Sociedad Vendedora acuerda cumplir, acatar y observar las obligaciones y compromisos que, a tenor del Contrato Principal, XXX haya adquirido a fin de conseguir que dicha Sociedad Vendedora cumpla, acate y observe lo máximo posible y en la medida en que XXX haya acordado, a tenor del Contrato Principal, procurar dicho cumplimiento, respeto u observancia.
2.2 El Comprador Designado acuerda cumplir, acatar y observar las obligaciones y compromisos que, a tenor del Contrato Principal, el Comprador haya adquirido a fin de conseguir que dicho Comprador Designado cumpla, acate y observe lo máximo posible y en la medida en que el Comprador haya acordado, a tenor del Contrato Principal, procurar dicho cumplimiento, respeto u observancia.
3. VENTA DEL NEGOCIO ESPAÑOL Y CONTRAPRESTACIÓN CORRESPONDIENTE
3.1 Con sujeción a y de conformidad con los términos del Contrato Principal, mediante el presente Contrato, la Sociedad Vendedora vende con garantía de pleno dominio, y el Comprador Designado compra, a partir de y con efecto desde el momento en que se produzca el Perfeccionamiento Local del contrato, el Negocio Español (incluidos, a fin de disipar cualquier duda que pudiese surgir, los Activos pertenecientes a dicho Negocio Español); dicho negocio se adquiere en calidad de negocio en activo, libre de cualquier derecho de retención, carga, título de participación o gravamen (distinto de los gravámenes permitidos) junto con todos los derechos, presentes o futuros, que pudiesen derivarse de los mismos.
3.2 La contraprestación a abonar a tenor del Contrato Principal por el Comprador a XXX Finance en concepto de contraprestación por la compra del Negocio Español se ha calculado conforme al Anexo 8 (Asignación de la Contraprestación) del Contrato Principal; dicho abono se realizará de conformidad con la Cláusula 3.2 (pago de Contraprestación RdM) y con la Cláusula 3.4 (Modalidad de pago) del Contrato Principal y se liquidará de conformidad con las disposiciones establecidas en el Anexo 11 (Determinación y Certificación de Liquidación de Activos Netos) del Contrato Principal (en adelante, la “Contraprestación”).
4. PRIMACÍA DEL CONTRATO PRINCIPAL
4.1 De conformidad con las intenciones de XXX, con las del Comprador y con las de cada una de las partes de que el objeto del presente Contrato se limite a la transmisión o cesión de la titularidad de los derechos relativos a diferentes activos pertenecientes al Negocio Español que se haya acordado vender en los términos y condiciones del Contrato Principal y de los Documentos de Transacción (distintos del presente Contrato), las partes acuerdan lo siguiente:
(a) que toda cantidad que se adeude a la Sociedad Vendedora respecto del Negocio Español de la Sociedad Vendedora (incluidos, a fin de evitar cualquier duda que pudiese surgir, los Activos pertenecientes al Negocio Español), de conformidad con las disposiciones del Contrato Principal, incluida, entre otras, la Cláusula 3 (Contraprestación), Cláusula 4 (Obligaciones), Cláusula 5 (Garantías), Cláusula 9 (Perfeccionamiento) así como el Anexo 11 (Determinación y Certificación de Liquidación de Activos Netos) del mencionado Contrato Principal, se entregará a XXX Finance (en nombre y representación de la Sociedad Vendedora); dicha Sociedad Vendedora, mediante el presente contrato, reconoce y confirma al Comprador Designado que toda cantidad abonada a XXX Finance constituirá la liquidación completa y definitiva de las obligaciones de pago de dicha cantidad que el Comprador Designado hubiera adquirido con la Sociedad Vendedora;
(b) que toda reclamación por daños o pérdidas (incluidos los intereses, honorarios o costes legales) que pudiese derivarse a tenor de o con respecto al presente Contrato o a cualquiera de los documentos mencionados en la Cláusula 5 (Perfeccionamiento Local) del mismo, será interpuesta únicamente por o contra XXX o el Comprador (según corresponda) en nombre y representación de la Sociedad Vendedora o del Comprador Designado (según corresponda) de conformidad con los términos y condiciones del Contrato Principal; asimismo, con sujeción a lo dispuesto en las subcláusulas 4.1 (c) y 4.1 (d), las partes renuncian a todos y cada uno de los derechos que pudieran corresponderles a entablar dicha reclamación frente a la otra parte;
(c) que en caso de que la pérdida o daño sufrido por parte del Comprador Designado fuese objeto de Garantía, el mismo sólo podrá obtener la reparación de dicha pérdida o daño sufrido mediante la presentación de demanda por incumplimiento de dicha Garantía, interpuesta por el Comprador en calidad de fideicomisario de la indemnización correspondiente a tal Garantía a favor del Comprador Designado; la cantidad de la pérdida, así como la medida de los daños en caso de reclamación, tal y como se contempla en las subcláusulas 4.1 (b) y 4.1 (c), será la pérdida o daño sufrido por la Sociedad Vendedora o el Comprador Designado y no por XXX o por el Comprador; no obstante,
(d) y sin perjuicio de las disposiciones establecidas en la subcláusula 4.1 (b), cualquier solicitud de cumplimiento específico, requerimiento judicial o cualquier otra reparación no pecuniaria que XXX o el Comprador no pudiesen conseguir de otro modo, y relativa a las actividades de la Sociedad Vendedora o del Comprador Designado, podrán ser presentados u obtenidos por la parte en cuestión directamente contra la otra parte a fin de proteger sus intereses o hacer valer sus derechos, aunque no se aceptará ni se tratará de conseguir por ninguna de las partes frente a la otra indemnización alguna por daños y perjuicios, sanciones económicas, compensaciones o cualesquiera otros importes.
4.2 A fin de dotar de plena validez y eficacia a lo antedicho, el Comprador Designado, mediante el presente Contrato se compromete a:
(a) designar de manera irrevocable al Comprador como su representante a fin de llevar a cabo negociaciones, llegar a acuerdos o resolver en su nombre cualquier disputa o controversia que pudiese surgir al Comprador Designado en el marco de cualquier Documento de Transacción;
(b) conferir al Comprador poderes absolutos en lo relativo a las negociaciones, consecución de acuerdos o resolución en su nombre de las mencionadas disputas o controversias;
(c) comprometerse con la Sociedad Vendedora en su propio nombre y representación y en nombre y representación de XXX a lo que a continuación se detalla:
(i) quedar sujeto y vinculado de forma irrevocable por todos los actos (y omisiones) que el Comprador lleve a cabo en el curso de o en relación con el desarrollo de las negociaciones, la consecución de acuerdos o resolución de cualquier disputa o controversia que pudiese surgir al Comprador Designado en el marco de cualquier Documento de Transacción; y a que
(ii) la recepción por parte del Comprador de las cantidades abonadas por cualquiera de los miembros integrantes del Grupo XXX en concepto de satisfacción de cualquier reclamación por o en nombre del Comprador Designado en el marco de cualquier Documento de Transacción constituirá la liquidación completa y definitiva de las obligaciones del mencionado miembro integrante del Grupo XXX frente al Comprador Designado en lo que respecta a dicha reclamación.
4.3 A fin de dotar de plena validez y eficacia a lo antedicho, la Sociedad Vendedora, mediante el presente Contrato se compromete a:
(a) designar de forma irrevocable a XXX como su representante a fin de llevar a cabo negociaciones, llegar a acuerdos o resolver en su nombre cualquier disputa o controversia que pudiese surgir a la Sociedad Vendedora en el marco de cualquier Documento de Transacción;
(b) conferir a XXX poderes absolutos en lo relativo a las negociaciones, consecución de acuerdos o resolución en su nombre de las mencionadas disputas o controversias;
(c) comprometerse con el Comprador Designado en su propio nombre y representación y en nombre y representación del Comprador a lo que a continuación se detalla:
(i) quedar sujeto y vinculado de forma irrevocable por todos los actos (y omisiones) que XXX lleve a cabo en el curso de o en relación con el desarrollo de las negociaciones, la consecución de acuerdos o resolución de cualquier disputa o controversia que pudiese surgir a la Sociedad Vendedora en el marco de cualquier Documento de Transacción; y a que
(ii) la recepción por parte de XXX Finance de las cantidades abonadas por cualquiera de los miembros integrantes del Grupo del Comprador en concepto de satisfacción de cualquier reclamación por o en nombre y representación de la Sociedad Vendedora en el marco de cualquier Documento de Transacción constituirá la liquidación completa y definitiva de las obligaciones del mencionado miembro integrante del Grupo del Comprador frente a la Sociedad Vendedora en lo que respecta a dicha reclamación.
4.4 En consideración a los compromisos mutuos recogidos en la Cláusula 4 (Primacía del Contrato Principal), cada una de las partes conviene con la otra en que no entablará procedimiento alguno ni interpondrá ninguna acción exigiendo la ejecución forzosa ante ningún tribunal (ya sea en Inglaterra, en España o en cualquier otro país) relativos al incumplimiento de cualquiera de las estipulaciones recogidas en el presente Contrato o en cualquiera de los demás Documentos de Transacción, excepto en la medida permitida por la subcláusula 4.1 (d).
4.5 En el supuesto de que se produjese el incumplimiento de la Cláusula 4.2, cada una de las partes reconoce y acuerda con la otra parte que su correspondiente sociedad matriz final (XXX o el Comprador, según corresponda) podrá adoptar todas las medidas que dicha sociedad matriz final considere oportunas a fin de dotar de eficacia a las disposiciones de la mencionada Cláusula y, en consecuencia, cada una de las partes acuerda que las estipulaciones de la Cláusula 4 (Primacía del Contrato Principal) tienen por objeto beneficiar tanto a XXX como al Comprador, y que, en dicha medida, la exclusión de derechos en favor de terceros a tenor de la Cláusula 35 [Ley de Contratos de 1999 (Derechos en favor de Terceros)] del Contrato Principal, incorporada por la Cláusula 6 (Cláusulas Adicionales) del presente Contrato, no será de aplicación.
5. PERFECCIONAMIENTO LOCAL
5.1 El Perfeccionamiento Local deberá producirse en el momento estipulado para el Primer Perfeccionamiento y, de conformidad con la Cláusula 9.4 del Contrato Principal, ninguna actuación llevada a cabo durante el Perfeccionamiento Local tendrá efecto salvo como parte del Primer Perfeccionamiento tal y como se prevé en la Cláusula 9 (Perfeccionamiento) del Contrato Principal. En consecuencia, el Perfeccionamiento Local, a tenor de lo dispuesto en el presente Contrato, se producirá de conformidad con la Cláusula 9 (Perfeccionamiento) del Contrato Principal en el mismo momento en que el Perfeccionamiento Local tenga plena ejecución con respecto a cualquier otro país (distinto de la India) o territorio objeto del Contrato Principal.
5.2 Con sujeción a la Cláusula 5.1 descrita con anterioridad, el Perfeccionamiento Local tendrá lugar en la Fecha en que el Primer Perfeccionamiento se lleve a efecto en el despacho de los abogados del Vendedor.
5.3 En el momento en que se produzca el Perfeccionamiento Local, el Negocio Español y los Activos pertenecientes a dicho Negocio Español serán transmitidos al Comprador Designado de conformidad con los términos y condiciones del Contrato Principal.
5.4 A efectos de Seguridad Social las partes ratificarán que dicho Perfeccionamiento Local ha tenido lugar mediante documento firmado en el momento en que se produzca. Este documento estará redactado en español.
6. CLÁUSULAS ADICIONALES
Las Partes acuerdan que cada una de la Cláusulas 20, 23, 26, 27, 29, 30, 31, 32, 34, 35 (excepto en la medida en que su aplicación quede expresamente descartada en el presente documento) y 36 del Contrato Principal se considerarán incorporadas al presente Contrato como si se hubiesen expuesto en su totalidad, considerando que, cada referencia a “XXX” ha sido reemplazada por una referencia a la “Sociedad Vendedora”; que cada referencia al “Comprador” ha sido reemplazada por una referencia al “Comprador Designado”; que cada referencia al “Negocio” ha sido reemplazada por la referencia al “Negocio Español”, y que cada referencia a los “Activos pertenecientes al Negocio” ha sido reemplazada por una referencia los “Activos pertenecientes al Negocio Español”.
7. NOTIFICACIONES
7.1 Con sujeción a la Cláusula 7.2, las estipulaciones recogidas en la Cláusula 33 (Notificaciones) del Contrato Principal serán de aplicación a las partes del presente Contrato.
7.2 En lo que respecta al Negocio Español, las direcciones y números de fax de las partes a los fines de la Cláusula 33.2 (Datos Iniciales de las partes) del Contrato Principal serán los siguientes:

Este Contrato se regirá e interpretará conforme a la legislación inglesa. Cada una de las partes acuerda que los tribunales de Inglaterra y Gales tendrán jurisdicción exclusiva en lo que respecta a la resolución de demandas o controversias surgidas a tenor del presente Contrato; asimismo, cada una de las partes se somete a la jurisdicción de los tribunales ingleses. Ninguna de las estipulaciones recogidas en la presente Cláusula 8 (Legislación Aplicable y Jurisdicción) limitará el derecho de las partes a acudir ante un tribunal con competencia en cualquier territorio fuera de Inglaterra o Gales a fin de exigir a cualquiera otra parte dentro de dicho territorio el cumplimiento forzoso de una orden o sentencia firme de cualquier tribunal en Inglaterra o Gales relativa al presente Contrato.
