From a CVM document with the results of an investigation into a Brazilian company for improper accounting practices.

It is clear that what is intended is a kind of statement issued to shareholders. However, what term do companies in the US use for such a statement?

This is the name of a regular company information to the stock market when it has any sort of important decision to communicate our of the scheduled financial reports.

Brazilian is the stock exchange but it is speaking with the foreign investor. Their translation is done by skilled professionals who deals only with the international financial markets. If you don't believe see the section 202.05 at NYSe website. You also can use Material Development. Other international exchanges prefer Material Fact. Or even Material News. The choice will depend on to what market are you intending to speak to.

Fato relevante has nothing to do with reports. Reports are required by law (SEC or CVM) to be presented regularly with the financial data of the company and so on. Material news or developments (don't use information because this is a too general term which does not carry the notion of something that just happened as it is the case with this sort of notice) can or cannot happen and as a consequence they may or may not be issued by the company during its whole existence!

This was suggested in the original proz discussion I linked to above. My concern is that your link, and all sources I've found using this term with this meaning in English, is Brazilian! My question is what term American companies use analogously to this term in Brazilian corporate governance.
Cool, we're already doing better than the previous proz discussion. The two terms which seem to be used in English are material news and material information. My only remaining question is the difference between the news and what the report or memo is called. My Pt document uses fato relevante to mean both the news as well as the type of document. Thanks for your help!

agree Donna Sandin : this is absolutely the correct term. It's seen often in litigation re company behavior as viewed by the CVM or US SEC – something affecting company management or ownership usually, when not disclosed it's a problem
